Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Elanora Group ("corpus", "we", "us", or "our") governing your access to and use of the corpus platform, APIs, and related services (collectively, the "Services").

By creating an account, accessing the Services, or clicking "I agree", you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, you must not use the Services.

2. Description of Services

corpus is a cloud-based accounting and ERP platform built for Indian businesses, CA firms, and finance professionals. The Services include:

• GST-compliant invoicing, billing, and expense management
• Accounting ledgers, vouchers, and financial reporting
• GST return preparation (GSTR-1, GSTR-3B, GSTR-9) and e-Invoicing
• TDS management, payroll processing, and compliance calendar
• Inventory management, purchase orders, and BOM
• AI-powered insights, anomaly detection, and natural language queries
• Tally data migration tools
• CA collaboration and multi-company management

We reserve the right to modify, suspend, or discontinue any feature of the Services at any time with reasonable notice.

3. Accounts & Registration

• You must be at least 18 years old and have the legal authority to enter into these Terms.
• You are responsible for maintaining the confidentiality of your login credentials and all activities under your account.
• You must provide accurate and complete registration information and keep it updated.
• One account per individual; you may not share credentials or allow unauthorized access.
• You must notify us immediately at [email protected] if you suspect unauthorized account access.
• We reserve the right to suspend accounts found in violation of these Terms without prior notice.

4. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose, including tax evasion or financial fraud
• Attempt to gain unauthorized access to any part of the platform or other users' data
• Reverse engineer, decompile, or disassemble any part of the Services
• Introduce malware, viruses, or any harmful code
• Use automated scraping tools, bots, or scripts to extract data without written permission
• Resell or sublicense access to the Services without authorization
• Misrepresent your identity, company, or professional credentials
• Use the Services to process data belonging to individuals or entities without their consent

Violations may result in immediate account suspension and potential legal action.

5. Payment & Billing

• Paid plans are billed monthly or annually in advance. All prices are in INR and inclusive of applicable GST unless stated otherwise.
• Subscriptions auto-renew unless cancelled at least 48 hours before the renewal date.
• Refunds are available within 7 days of the initial subscription or annual renewal, upon request.
• We reserve the right to change pricing with 30 days' notice. Your current plan rate is locked until renewal.
• Non-payment may result in service degradation or suspension after a 7-day grace period.
• All payments are processed by our payment partner (Razorpay). We do not store card details.

6. Data Ownership

You own your data. All financial records, documents, and business data you create or import into corpus remain your property at all times.

You grant corpus a limited, non-exclusive license to store, process, and display your data solely for the purpose of providing the Services to you.

Upon account deletion or subscription termination, you may export your data for up to 30 days. After that period, data will be deleted from our active systems (subject to legal retention obligations).

7. Intellectual Property

The corpus platform, including its software, design, trademarks, logos, and documentation, is the exclusive property of Elanora Group and is protected by Indian and international intellectual property laws.

Nothing in these Terms grants you ownership of any corpus intellectual property. You may not use the corpus name, logo, or branding without prior written consent.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Services are provided "as is" without warranty of any kind, express or implied.
• corpus is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
• Our total aggregate liability to you for any claim shall not exceed the fees paid by you to corpus in the 3 months preceding the claim.
• corpus is not a licensed CA firm, legal advisor, or tax consultant. The Services are tools to assist you — final responsibility for compliance filings rests with you or your authorized professional.

9. Termination

Either party may terminate this agreement:

• By you: Cancel your subscription at any time via Settings → Billing. Your access continues until the end of the current billing period.
• By us: We may terminate or suspend your account with 30 days' notice, or immediately for serious violations of these Terms.

Upon termination, your right to access the Services ceases. Sections 6, 7, 8, and 10 survive termination.

10. Governing Law

These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra, India. Both parties agree to attempt good-faith resolution before initiating legal proceedings.

11. Changes to Terms

We may update these Terms periodically. We will notify you via email and an in-app notice at least 30 days before material changes take effect. Your continued use of the Services after the effective date constitutes acceptance. If you disagree with the changes, you may cancel your subscription before the effective date.
